Companion Terms

These Terms commence on the date Your Companion profile is approved and made available on the Platform, and continue until terminated in accordance with this Section 1 or Section 13. We may suspend or terminate Your participation as a Companion at any time, with or without cause, by giving You notice through the Platform or by email. You may stop participating as a Companion at any time by writing to Us at support@callclub.in. Termination does not affect any right or obligation that accrued before it took effect.

As a Companion, You agree to:

• make Yourself available for chat, audio, and/or video interactions via the Platform;
• engage with Users during such interactions in accordance with Our Community Guidelines and these Terms; and
• permit the use of Your name, photographs, and profile information for display on the Platform.

You acknowledge that these services are provided to the Platform to enhance its offering to Users, and that Call Club acts solely as an intermediary in respect of any interaction between You and a User.

Not every Companion profile is automatically eligible to earn or withdraw earnings. To qualify for monetisation, You must, on an ongoing basis:

• successfully complete Our KYC verification process;
• engage in genuine chat, audio, or video interactions with multiple distinct Users;
• complete any training or certification We may require from time to time; and
• remain in good standing under Our Community Guidelines, without an active suspension.

We may review and revise this eligibility criteria from time to time; any material change will be communicated to You through the Platform or by SMS.

In consideration for the services described in Section 2, We shall credit You with earnings calculated as a percentage of the wallet coins charged to Users for Your chat, audio, and video interactions, at Our prevailing commission structure as communicated to You through the Platform. This structure, and any deductions applicable to it, may be revised by Us from time to time; Your continued participation as a Companion after such a change constitutes Your acceptance of it.

Payouts are made to the bank account or UPI ID registered against Your Companion profile, once Your verified balance exceeds INR 100, or such other threshold as We may notify from time to time. We may require Your Permanent Account Number (PAN) or other tax information before processing a payout, where required under applicable law.

You must not engage in any fraudulent or deceptive activity intended to inflate Your earnings, including creating multiple accounts, generating fake interactions, or self-tipping. Earnings found to have been generated this way shall be forfeited and may result in suspension or termination of Your account. Our calculation of Your earnings and balance shall be treated as final, absent manifest error. We may suspend or delay a withdrawal while Your account is under investigation for a suspected breach of these Terms or applicable law.

By participating as a Companion, You represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into these Terms;
• Your participation will comply with applicable law and Our Community Guidelines, as updated from time to time;
• You will not engage in conduct that could harm the reputation of Call Club;
• all information You provide to Us is true, complete, and current, and You will promptly update it if it changes;
• You will perform Your role in a diligent and professional manner;
• any material You share during an interaction will not infringe a third party's rights, and You will be solely responsible for any loss arising from such infringement; and
• You will respect the privacy of Users and will not collect, store, or disclose their information except as permitted under these Terms.

You must ensure that the information in Your Companion profile, including Your name, contact details, payment information, and verification documents, remains true, complete, and current. You must not impersonate any person or provide information that misleads Users or Us. We may require additional verification if You change key account details, and may suspend Your account if You fail to provide it.

In addition to Our Community Guidelines, You agree that You will not:

• engage in fraudulent or inauthentic activity, including fake accounts or fake interactions, or exploit a bug or vulnerability in the Platform;
• make disrespectful, derogatory, or harassing remarks towards a User;
• solicit or arrange any engagement with a User outside the Platform, including to circumvent Our commission structure;
• record, reproduce, or share any part of a call or chat outside the Platform, or permit another person to do so; or
• promote, sell, or facilitate the sale of any unauthorised or illegal material during an interaction.

We may monitor, review, or retain records of interactions for safety, quality, and compliance purposes, and may restrict or remove You from the Platform where We reasonably believe You have violated these Terms, Our Community Guidelines, or applicable law.

We may suspend, restrict, or remove Your access to the Platform as a Companion, at Our discretion, where We believe You have breached these Terms, Our Community Guidelines, or applicable law, or where We consider it necessary for safety, legal compliance, or operational reasons. We shall not be liable for any loss of earnings, opportunity, or data arising from such action, and no compensation shall be payable in connection with it. This Section does not limit any other right or remedy available to Us under these Terms or applicable law.

You retain ownership of any material You create or share during Your interactions on the Platform, subject to any third-party rights in such material, for which You remain solely responsible. You grant Us a limited, non-exclusive, royalty-free licence to transmit, store, and make Your interactions available to Users of the Platform, for the purposes of operating the Platform and for moderation, safety, and legal compliance. This licence ends when the corresponding content is deleted from Our systems in the ordinary course of business.

Nothing in these Terms transfers to Us any ownership right in Your material, and nothing in these Terms transfers to You any ownership right in the Platform or Our trademarks or other intellectual property.

You must keep confidential, and not disclose to any third party, any non-public information You receive through Your participation as a Companion, including information about Platform Users and Our operations, technology, or policies. You may use such information only to perform Your role, and must protect it with at least the care You use to protect Your own confidential information. This obligation survives the end of Your participation as a Companion.

You agree to indemnify and hold harmless GURU JI INFOSOLUTION, its directors, officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of Your breach of these Terms, any content or conduct in Your interactions that infringes a third party's rights or causes them harm, or any violation of applicable law by You. This obligation survives the termination of these Terms.

To the maximum extent permitted by law, We shall not be liable to You for any indirect, incidental, consequential, or special damages, including loss of earnings or opportunity. Our total liability to You for any claim arising out of these Terms shall not exceed the total earnings paid to You through the Platform in the three (3) months immediately preceding the event giving rise to the claim. Nothing in this Section limits Your liability to Us for a breach of these Terms or a violation of law.

You may end Your participation as a Companion at any time by closing Your Companion profile through the Platform or by writing to support@callclub.in. We may terminate Your participation at any time, including where You breach these Terms or Our Community Guidelines, or where We discontinue the Companion programme.

Where Your account is terminated or suspended for a breach of these Terms or applicable law, We may withhold any earnings reasonably connected to that breach pending investigation. Earnings found to have been generated through prohibited means will be forfeited; all other verified earnings will be paid to You. Termination does not affect any right or obligation that accrued before it, including Your confidentiality and indemnity obligations under these Terms.

These Terms are governed by the laws of India, and any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts at Kanpur, Uttar Pradesh.

Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between You and Us, and You have no authority to bind Us.

Assignment. You may not assign Your rights or obligations under these Terms without Our prior written consent. We may assign Ours to an affiliate, or in connection with a merger, acquisition, or sale of business.

No waiver. Our failure to enforce a provision of these Terms does not waive it.

Severability. If a provision of these Terms is found unenforceable, the remaining provisions continue in effect.

Entire agreement. These Terms, together with the policies they reference, are the entire agreement between You and Us regarding Your participation as a Companion.

Non-exclusivity. Your participation as a Companion is non-exclusive; We may engage other individuals to provide similar services.

Survival. Provisions relating to confidentiality, intellectual property, indemnity, and limitation of liability continue to apply after Your participation as a Companion ends.
